FinCEN has finalized the exemption from beneficial ownership reporting for U.S. companies. Certain foreign entities registered to do business in the United States remain in scope.

Current status: Final rule announced August 11, 2026; effective August 14, 2026.

Who may be affected

U.S.-created entities, U.S. persons, and qualifying foreign reporting companies.

Dates & timing

August 14, 2026.

A practical next step

Confirm where your entity was created and whether it falls within the remaining foreign reporting-company definition. Use current FinCEN guidance to determine any reportable foreign individuals and applicable deadlines.

Before you apply the rule

A U.S.-formed LLC with a foreign owner is different from an entity formed outside the United States. This exemption does not remove federal tax, state, or other business reporting obligations.
